Terms of Service

You may need an account to use the Service. You agree to:

• Provide accurate, complete, and up-to-date information.
• Maintain the confidentiality of your account credentials.
• Be fully responsible for all activities that occur under your account, whether or not authorized by you.

The Service enables you to create, configure, and run custom AI-powered agents and workflows ("skills"). Depending on your configuration, agents and skills may execute logic, run automatically or on schedules, and perform actions on connected third-party services.

You acknowledge and agree that the Service may operate autonomously based on your instructions and configurations.

The Service uses artificial intelligence and automated systems to generate outputs and perform actions.

You acknowledge and agree that:

• AI-generated outputs may be inaccurate, incomplete, misleading, or inappropriate.
• You are solely responsible for reviewing, validating, and approving outputs before relying on them or allowing them to trigger actions.
• The Service is not a substitute for professional advice (including legal, medical, financial, or compliance advice).
• You assume all risk associated with the use of AI outputs and automated actions.

Numino has no obligation to monitor, supervise, or intervene in agent behavior or automated executions.

If you connect third-party services (such as Gmail, Google Calendar, Google Docs, GitHub, or others):

• You authorize the Service to access, process, and transmit data from those services and to perform actions on your behalf as configured by you.
• You are solely responsible for ensuring you have all rights, permissions, and authority to connect and use such services.
• You accept all consequences of actions taken through connected services.
• Third-party services are governed by their own terms and privacy policies, and Numino is not responsible for them.
• You may revoke access at any time through the Service or the third-party provider.

"Content" includes all information, text, prompts, instructions, workflows, messages, files, and other materials submitted to or processed by the Service on your behalf.

You retain ownership of your Content. You grant Numino a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your Content solely as necessary to operate and provide the Service.

You represent and warrant that you have all rights necessary to provide your Content and authorize its processing.

You agree not to:

• Use the Service in violation of applicable law.
• Use the Service for unlawful, harmful, deceptive, or abusive purposes.
• Interfere with or disrupt the Service or attempt to bypass security measures.
• Use the Service for spam, phishing, or fraud.
• Reverse engineer or attempt to extract non-public aspects of the Service, except as permitted by law.

The Service may offer free and paid features. Currently, access may be provided without charge.

We may introduce paid features, modify pricing, change features, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice.

We may suspend or terminate your access at any time if we reasonably believe you violated these Terms or if necessary to protect the Service, users, or third parties.

You may stop using the Service at any time.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NUMINO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE OR ANY OUTPUTS WILL BE ACCURATE, RELIABLE, SECURE, OR UNINTERRUPTED.

TO THE FULLEST EXTENT PERMITTED BY LAW:

• NUMINO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL.
• NUMINO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO NUMINO FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF NO FEES WERE PAID, UNLESS APPLICABLE LAW REQUIRES OTHERWISE.

You agree to indemnify, defend, and hold harmless Numino from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your Content
• Your use of connected third-party services
• Your violation of these Terms or applicable law

These Terms are governed by the laws of the State of Israel, without regard to conflict of laws principles.

Except where prohibited by law, any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the competent courts located in Tel Aviv-Yafo, Israel, and you consent to such jurisdiction and venue.

We may update these Terms at any time. Changes are effective when posted. Continued use of the Service constitutes acceptance of the updated Terms.
